The Owner's Guide to AI Governance: Guardrails, Data, and Risk for Companies Without a CIO

AI governance for a small business is a two-page policy plus a few enforced defaults: approved tools, a simple data classification, human review where mistakes are costly, vendor checks before data flows, access by role, and a plan for when something goes wrong.

Most owner-led companies do not have a chief information officer, a compliance department, or anyone whose job title includes the word "risk." They do have employees with browsers, and those employees are already using AI tools on company work: drafting emails, summarizing customer documents, asking questions about contracts. The question is not whether your company uses AI. It is whether anyone has decided how.

This guide gives you a governance approach sized for a business without a CIO: a two-page policy, a three-color data classification, and a handful of defaults that do most of the work.

What does AI governance mean for a small business?

For a small business, AI governance means deciding which tools may be used, which data may go into them, where a person must check the output, how vendors are vetted, who has access to what, and what happens when something goes wrong. That is the whole scope. It does not require a committee, a framework with a trademark, or a consultant on retainer. It requires an owner to make six decisions and write them down.

The absence of a policy is a policy: it says anything goes, and your employees are already acting on it.

The risks you are managing are concrete. Customer or employee data pasted into a consumer tool whose terms allow it to be retained. A confidently wrong answer about a contract term acted on without a check. A vendor that quietly changes how it handles your data. An employee who leaves with access to an AI tool connected to your systems. None of these is exotic, and all of them are preventable with a few rules.

Why does a company without a CIO need this at all?

Because the alternative is that every employee is their own CIO. In the absence of guidance, sensible people make reasonable-sounding choices that are wrong in aggregate: one person uses a personal account because it is faster, another pastes a customer list to "clean it up," a third trusts a summary of a lease because it read well. Each decision is defensible alone. Together they are a data-handling practice you would never have approved.

If your business handles health, financial, legal, or personal information, the rules you already comply with apply to AI tools as well; the tool does not change your obligations. And if you sell to larger companies, expect their procurement teams to ask how you use AI with their data. A written policy turns that question from a scramble into an attachment.

The Minimum Viable AI Policy

The Minimum Viable AI Policy has six sections. Each can be a few paragraphs. The whole document should fit on two pages, because a policy nobody reads protects nobody.

1. Acceptable use

State which tools are approved, for which kinds of work, and under which accounts. The core rule is simple: company work happens in company-controlled accounts on approved tools. Name the approved tools. Say that personal accounts may not be used for company data. Say that AI output is a draft, not a decision, and that the person who uses it is responsible for it. Give examples of encouraged uses so the policy reads as permission, not prohibition.

2. Data classification

Employees cannot follow a data rule they cannot apply in two seconds. Use the Traffic-Light Data Classification:

  • Green: public or harmless internal information: marketing copy, published prices, general how-to questions. May be used in any approved tool.
  • Yellow: internal business information that is not secret but not public: internal procedures, non-sensitive customer correspondence, project notes. May be used only in approved business-tier tools whose terms prohibit training on your data.
  • Red: anything you would be in trouble for leaking: customer personal data, employee records, financial details, contract terms under confidentiality, credentials, anything covered by a regulation. May be used only in tools that have passed vendor review and are connected through controlled access, never by copy and paste into a general chat interface.

Three colors is the right number. Five is too many to remember; two is too few to be useful.

3. Human review

Define where a person must check AI output before it is used, based on consequence. A reasonable default: anything that leaves the company under your name, anything that changes a number in a system of record, and anything that affects a customer, an employee, or money gets reviewed. Internal drafts and summaries for the reader's own use do not. Where you have built or configured a tool for a document-heavy process, the review step should be built into the workflow, not left to memory.

4. Vendor review

Before any new AI tool touches yellow or red data, someone answers five questions: Do the terms prohibit training on our data? Where is data stored and for how long? Can we delete it? Who at the vendor can see it? What happens to our data if we leave? Write the answers down and keep them. This is a one-hour task per vendor, and it is the section that most often prevents a serious problem.

5. Access and roles

Decide who may use which tools with which data, and connect tools to your systems through accounts you control rather than through individuals' logins. When a tool is wired into your ERP, CRM, or document store, it should see only what the person using it is allowed to see. When someone leaves, their AI access is removed with everything else. If you are building or configuring rather than buying, role-based access is a design requirement, not an afterthought.

6. Incident handling

Say what counts as an incident, who to tell, and what happens next. An incident is red data entering an unapproved tool, an AI output causing a customer-facing or financial error, or a vendor breach notice. The response is: tell the named person, preserve what happened, contain it, and fix the default that allowed it. Make it explicit that reporting is safe. A policy that punishes disclosure guarantees you will not hear about the incidents that matter.

How do you put the policy into practice?

Turn each rule into a default that does the work for you. Governance that depends on people remembering a document under time pressure will fail; governance that is built into the tools will mostly hold.

  • Approved tools only: provision business accounts for everyone and make them the path of least resistance.
  • Data classification: put the three colors on a card at every desk and in the header of the policy. Where possible, use tools that connect to your systems so staff never need to paste red data anywhere.
  • Human review: build review into the workflow, such as a queue, an approval step, or a confidence threshold below which the tool asks for help.
  • Vendor review: keep a one-page record per approved vendor and re-check it when the vendor changes its terms.
  • Access: manage AI tool access through the same process as every other system.
  • Incidents: name the person and tell everyone that reporting is expected.

Then spend one hour training everyone, with the owner in the room, and review the policy every few months for the first year. This is also the moment to pair governance with adoption: people follow rules they understand and helped shape.

Governance is not a document; it is the set of defaults your tools enforce when nobody is watching.

A worked example

Consider a 75-person accounting and advisory firm with partners, staff accountants, and an administrative team. Client financial data is red by definition. Staff have been using a mix of personal and business AI accounts to draft client letters, summarize tax notices, and answer technical questions.

Applying the policy: the firm provisions business-tier accounts for everyone and states that personal accounts may not be used for client work. It classifies client identifiers, financial statements, and tax documents as red, internal procedures and templates as yellow, and general technical research as green. It requires partner review of any AI-drafted client communication and any figure that will enter a return or a ledger. It runs vendor review on its two main tools and finds one whose terms are acceptable and one whose retention policy is not, and drops the second. It connects the approved tool to its document system with the same permissions staff already have, so a staff accountant can summarize a notice for their own client but not browse another partner's files. It names the managing partner as the incident contact and states plainly that reporting is expected.

Two pages, one training hour, one vendor dropped. The firm is not risk-free, but it is no longer making a hundred uncoordinated decisions a day.

Where this goes wrong

  • Banning AI outright. Bans move usage to personal devices where you cannot see it.
  • Writing a policy nobody can apply. If a rule cannot be followed in two seconds, it will not be.
  • Classifying data into too many tiers. Three colors. Resist the fourth.
  • Relying on acknowledgment forms. Signatures do not change behavior. Defaults do.
  • Skipping vendor review because the tool is popular. Popularity is not a data-handling policy.
  • Treating governance as a one-time project. Tools, vendors, and terms change; review the policy on a schedule.
  • Governing before there is anything to govern. If you are still deciding where AI should be used at all, write the policy alongside the first project, not years ahead of it.

The build phase of any serious implementation should deliver these guardrails as part of the system: access roles, data handling, review steps, monitoring, and adversarial testing before go-live. If a proposal does not mention them, ask why; the pricing of any implementation should include this work.
